The Fund is organized as a Delaware limited liability company. The Manager is organized as a Washington limited liability company and serves as the investment manager of the Fund.
Participation in any Urgent Capital offering is available only to individuals and entities who qualify as Accredited Investors under Rule 501(a) of Regulation D. An Accredited Investor generally includes:
Individuals who have earned income exceeding $200,000 (or $300,000 jointly with a spouse or spousal equivalent) in each of the two most recent calendar years, with a reasonable expectation of the same income in the current year; or who have a net worth exceeding $1,000,000, either individually or jointly with a spouse or spousal equivalent, excluding the value of a primary residence; or who hold a Series 7, Series 65, or Series 82 license in good standing.
Entities including banks, registered investment advisers, certain trusts, corporations, partnerships, and limited liability companies with assets exceeding $5,000,000, or in which all equity owners are Accredited Investors.

Prospective investors are required to provide documentation sufficient to verify their accredited status. The Fund does not accept self-certification alone as verification for 506(c) offerings. Verification may include tax returns, W-2 forms, brokerage or bank statements, a letter from a licensed CPA, attorney, registered investment adviser, or licensed broker-dealer confirming accredited status, or such other documentation as the Fund deems appropriate.

Investing in real estate debt instruments, including hard money loans and interests in an evergreen real estate debt fund, involves substantial risk. Investors should be prepared to hold their investment for the duration of the fund's term or the applicable investment period, which may be several years. Real Estate Market Risk. The value of real estate collateral underlying any loan or fund investment may decline due to changes in local or national real estate markets, rising vacancy rates, declining rents, oversupply, or other factors outside Urgent Capital's control. Borrower Default Risk. Borrowers under hard money loans may default on their obligations. While loans are typically secured by first-lien deeds of trust or mortgages, foreclosure proceedings are subject to delay, cost, and legal uncertainty. Recovery may be less than the outstanding principal balance.
Interest Rate Risk. Changes in prevailing interest rates may adversely affect the value of fixed-rate debt instruments in the portfolio and may make it more difficult for borrowers to refinance or repay loans.
Concentration Risk. The Fund's portfolio may be concentrated in a limited number of loans, property types, or geographic markets, which may increase volatility and exposure to adverse local conditions.
